WHAT YOU NEED TO KNOW

  • Talos closed the Shell asset acquisition on Sept. 22, 2026, for a final net cash purchase price of $420 million.
  • The package adds approximately 16 MBoe/d of production, about 77% oil, plus 23 MMBoe of proved reserves.
  • Talos acquired operatorship and a 50% interest in Coulomb alongside a 25% interest in the bp operated Na Kika platform.
  • Incremental lender commitments of $150 million increased Talos’s borrowing base from $700 million to $850 million.

Talos Energy Inc. has completed its acquisition of certain deepwater Gulf of America assets from Shell Offshore Inc., alongside an affiliate of Ridgewood Energy Corporation. The transaction expands Talos through producing properties that add immediate production, cash flow and operating scale.

The final net cash purchase price at closing on Sept. 22, 2026, was $420 million. That amount included a previously escrowed deposit of $42.5 million and remains subject to customary adjustments after closing.

The acquired package includes a 50% working interest and operatorship in the Coulomb field. Talos also secured a 25% working interest in the Na Kika platform, which is operated by bp, and four associated fields named Kepler, Ariel, Fourier and Herschel.

Talos announced the definitive agreement on June 30, 2026, with cash consideration of $850 million net to the company, subject to customary purchase price adjustments. Based on estimated interim cash flow from the July 1, 2025, effective date, Talos had expected final net cash consideration of about $450 million to $500 million, excluding the deposit.

Working interests in the Na Kika platform and associated fields were subject to a 30 day preferential right held by bp affiliates. The right was not exercised, allowing Talos to acquire the full asset package described in the agreement.

Average production from the acquired interests during the first quarter of 2026 was approximately 16 MBoe/d, with oil representing about 77%. The properties add approximately 23 MMBoe of proved reserves and 10 MMBoe of probable reserves.

Those reserve figures are based on an NSAI SEC year end 2025 reserves report and are stated net to Talos and net of plugging and abandonment. The transaction therefore adds both current production and identified reserves within the company’s deepwater portfolio.

Commercial terms also include a 50% upside sharing agreement that became effective at closing and continues through year end 2027. The arrangement is subject to thresholds based on commodity prices if the realized price exceeds $60/bbl, as well as certain other contingencies and agreements.

Talos said the acquisition delivers production with low costs, high margins and a heavy oil weighting that is expected to be immediately accretive to key financial metrics. The company also cited greater reserves, increased production and future infrastructure led exploration opportunities.

The purchase was funded through a combination of available cash and debt while maintaining balance sheet strength, according to Talos. In connection with the transaction, the company secured $150 million in incremental commitments from existing lenders.

Those commitments increased Talos’s borrowing base from $700 million to $850 million, effective upon closing. The additional lending capacity accompanied the completion of an acquisition that company executives described as aligned with Talos’s broader offshore strategy.

President and CEO Paul Goodfellow said at closing: “The closing of this transaction marks another important step in executing our strategy to build a long-lived, scaled portfolio and become the leading pure-play offshore E&P. These high-quality, oil-weighted assets immediately enhance our scale, increase free cash flow generation, improve our margins, and provide infrastructure-led growth opportunities that leverage our core strengths in the Gulf of America.”

Executive Vice President and CFO Zach Dailey said: “This strategic transaction in the Gulf of America is expected to be immediately accretive to key financial metrics and deliver long-term value while maintaining balance sheet strength and preserving financial flexibility. Importantly, the increased borrowing base reflects strong confidence from our lenders in the quality of the acquired assets, Talos’s base business, and the financial framework that underpins our strategy. On a pro forma basis, we expect to maintain leverage consistent with our financial framework.”

Results for the third quarter of 2026 will include contributions from the acquired properties from the closing date through quarter end. Talos will fully consolidate the assets beginning in the fourth quarter of 2026 and plans to provide updated full year 2026 guidance with its third quarter earnings release.

Shell also affirmed its continuing interest in the region. Shell Upstream President Peter Costello said: “The Gulf of America is one of our highest-value basins, and we are actively shaping our portfolio to ensure our upstream business continues to be resilient and increasingly competitive,” adding, “We remain focused on sustaining our material liquids production into the next decade.”
